$0.25 per Unit for gross proceeds of up to $4,000,000. Each Unit shall consist of one Common Share and one Common Share purchase warrant ("Warrant"), with each Warrant entitling the holder thereof to purchase one additional Common Share at a price of $0.40 within 12 months of issuance. While the deal is dilutive atleast the warrants only will come into play after a 37% increase in S/P.
