Question to the board re Crossflo deal

Posted by: gcduck on August 28, 2008 07:50AM

I don't know the fiscal system of the US, so maybe the following question is a dumb one...

Assuming Crossflo would be worth more than $30mio and PTSC WOULD have bought Crossflo for $32,5mio - would the Crossflo owners then to have pay for taxes for $30mio (this would be the case in Germany)?

Now if this would be the case, then it would be more clever to fix the official price at $10mio, the Crossflo owner receive 30mio shares @0,25, knowing these shares will be worth at least $30mio in some weeks/months (I'm still hopelessly optimistic...lol) or at the end of the holding period - but don't have to pay the taxes for the real worth of their company.

This would mean, they pay only taxes for $10mio and not for $32,5mio.

And this would explain, why PTSC is not interested to bring the shareprice up with actions/prs etc.

All IMHO - glta
