Explanation for 'transfer' to JV

Could someone please explain the transfer of our best targets to the JV? The press release notes that the board voted. If it voted then it had a choice, and I can't understand why choosing to transfer the very best targets makes the most sense for Liberty shareholders. I'd like some kind of explanation of how this board is exercising its fiduciary responsibility to Liberty shareholders in this matter.

It seems to me that 50% of 3 great targets was taken from us for... what in return?
