cancellation of options and purchase of shares

Hi Agorcom;

The 6,000,000 shares that Michael Lee will purchase are they from the company or from another investor. I am not sure I understand when it says Michael Lee will cancel the same # of options at same price and than purchase the same number of shares at same price!
