I think I`m using too much logic for a penny stock, but I think if we get that Alpha AP IPO in China, we should be above .30. At .16 our market cap is just under 10 mil. With the IPO, Alpha gets a 11 mil licencing fee. The IPO might be worth about 10 mil, if that previous press release says that NSL will buy 25% of their shares for proceeds worth about $2.56 mil. I honestly have never heard of a term sheet, and may be way off course here, and apologize if I am. Shouldn`t $15 mil in cash raise our market cap a bit? Does that previous PR mean that the IPO deal is unofficially confirmed, I`m having trouble reading between the lines.

``About Alpha AP Inc.

The newly formed Joint Venture, Alpha AP Inc. (``AAP``), is headquartered in Hong Kong. Under the terms of the Joint Venture agreement, Advance Pharmaceutical Co. Ltd. (``APC``) will fund the Joint Venture, manufacture and market the products in China, Hong Kong, Korea and Japan.

Under the terms of the licensing agreement, as amended, AlphaRx will provide 10 products to the Joint Venture, to be marketed under the APC brand. In addition to its 50% equity in the Joint Venture, AlphaRx will receive a 5% royalty from the Joint Venture`s gross sales. AlphaRx will also receive a one time licensing fee of US$11M from the Joint Venture, contingent upon completion of its Hong Kong public stock offering.``

Has Alpha AP (AAP) changed their name to AlphaRx International Holdings Limited (AIH)?

``Under the terms of the agreement, NSL has agreed to subscribe AIH`s shares equivalent to 25% of the total number of issued shares on a fully diluted basis for an aggregate consideration of twenty million Hong Kong dollars (HK$20,000,000), approximately US$2,564,102``

I like the agreements being signed, I don`t like that they`re companies I can`t find info on. I wonder if Alpha will mention the aggreement with AAGM for the NA licencing deal?

This is either a great ground floor opportunity, or an elaborate rip-off!

Best of luck to all (and me),

Peace
