Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Company and Sridhar Madhavan have come to an agreement that Mr. Madhavan will cease employment with the Company effective August 1, 2012. Mr. Madhavan will assist the Company with transition activities and other projects until that time in a new role as Vice President of Strategy, Asia and effective January 23, 2012 will no longer serve as Vice President, Engineering.
