Change in Directors or Principal Officers

Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

B) Resignation of Officer.

On October 15, 2007, Exousia Advanced Materials, Inc. (the "Company") received a letter, dated October 15, 2007, wherein Mr. Lane Brindley resigned as the president and general counsel of the Company, effective immediately. Mr. Brindley has not advised the Company of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.

C) Appointment of Officer.

In October 16, 2007, Wayne Rodrigue, Jr., Chairman and Chief Executive Officer of the Company, was appointed President of the Company, effective immediately. Mr. Rodrigue's new title is Chairman, Chief Executive Officer, and President of the Company.
